THESE LEGAL TERMS ARE IMPORTANT AND AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY BEFORE USING THE SERVICES. SECTION 21 (DISPUTE RESOLUTION) CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER, WHICH REQUIRE YOU AND US TO RESOLVE MOST DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS AS DESCRIBED IN SECTION 21.

AGREEMENT TO OUR LEGAL TERMS

We are Creative Rhythm LLC, a Delaware limited liability company doing business as The Rhyme Game (“Company”, “we”, “us”, “our”).

We operate the mobile application The Rhyme Game (the “App”), the browser version of the game at play.therhymegame.com, our website at www.therhymegame.com, and any community, promotion, or other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).

You can contact us by email at contact@creative-rhythm.com, by phone at (+1) 802-302-3853, or by mail to 2810 N Church St, #400235, Wilmington, DE 19802, United States.

These Legal Terms constitute a legally binding agreement made between you, whether personally, on behalf of an entity, or, if you are a minor, through your parent or legal guardian who agrees to these Legal Terms on your behalf (“you”), and Creative Rhythm LLC, concerning your access to and use of the Services.

You accept these Legal Terms by tapping or clicking to agree to them when prompted in the App or on the Services (for example, on the screen that appears the first time you play, when you create an account, or when you start a subscription or free trial). By accepting, you confirm that you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

You acknowledge and agree that by tapping or clicking “Continue”, “I Agree”, “Create Account”, “Start Free Trial”, “Subscribe”, “Download”, or any similar button we designate to accept these Legal Terms, you are submitting a legally binding electronic signature and entering into a legally binding contract, with the same effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act and applicable state law. We keep a record of when you accepted and which version of these Legal Terms you accepted.

Supplemental terms and conditions or documents that may be posted on the Services from time to time, including the official rules for any Promotion (as defined in Section 29), are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Legal Terms, and for any material change we will give you reasonable advance notice by email (if we have your email address), by an in-App notice, or by asking you to accept the updated Legal Terms. It is your responsibility to periodically review these Legal Terms to stay informed of updates. To the extent permitted by law, your continued use of the Services after the effective date of any revised Legal Terms means you accept the changes. Changes will not apply to any Dispute (as defined in Section 21) for which notice was given before the change took effect.

The Services are intended for users who are at least 13 years of age, and persons under the age of 13 are not permitted to use the Services. We may ask for your age (such as your birth year) before you can use the Services. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Services, and your parent or guardian agrees to these Legal Terms on your behalf and is responsible for your use of the Services, including any purchases. Promotions are open only to adults, as described in Section 29.

We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES

The Rhyme Game is a freestyle rap game and training tool. The Services let you rap over beats with rhyme words and prompts in time with the music, practice with different word lists and rhyme patterns, track your progress, and, if you choose, record videos of yourself playing on your device to save or share. Some features are free, and others require a subscription. We may also offer community features, Promotions, and other features from time to time, and we may add, change, or remove features at any time.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”).

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services “AS IS” for your personal, non-commercial use only. You may not use the Content or Marks for any commercial purpose, including by selling, licensing, or distributing our beats, word lists, or other Content, or by using THE RHYME GAME name or logo in a way that suggests we sponsor or endorse you, without our prior written consent. This does not limit your right to share recordings you make with the App, including on social media accounts that you monetize, as permitted by these Legal Terms.

Your use of our Services

Subject to your compliance with these Legal Terms, including the “PROHIBITED ACTIVITIES” section below, we grant you a non-exclusive, non-transferable, revocable license to:

access the Services; and
download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: contact@creative-rhythm.com. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions and contributions

Please review this section and the “PROHIBITED ACTIVITIES” section carefully prior to using our Services to understand the (a) rights you give us and (b) obligations you have when you post or upload any content through the Services.

Submissions: If you send us any question, comment, suggestion, idea, feedback, or other information about the Services (“Submissions”), you represent and warrant that you have the right to share it with us and to grant the license below. Submissions are not confidential, and we have no obligation to review, use, or return them. You hereby grant us a non-exclusive, perpetual, irrevocable, royalty-free, fully paid, worldwide, transferable, and sublicensable license to use, reproduce, modify, distribute, and otherwise exploit your Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You agree that you will not bring any claim against us based on our use of a Submission, including any claim that a feature or content we develop is based on your Submission.

Contributions: The Services may invite you to chat, contribute to, or participate in community features, message boards, online forums, and other functionality during which you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials to us or through the Services, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, reviews, rating suggestions, personal information, or other material (“Contributions”). Any Submission that is publicly posted shall also be treated as a Contribution. Recordings you make with the App and keep on your device, without sharing them through the Services, are not Contributions.

You understand that Contributions may be viewable by other users of the Services and possibly through third-party websites.

When you post Contributions, you grant us a limited license: By posting any Contributions, you grant us a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, perform, distribute, and reformat your Contributions solely to operate, provide, and improve the Services, and to promote The Rhyme Game, as described in Section 11.

You are responsible for what you post or upload: By sending us Submissions and/or posting Contributions through any part of the Services or making Contributions accessible through the Services by linking your account through the Services to any of your social networking accounts, you:

confirm that you have read and agree with our “PROHIBITED ACTIVITIES” and will not post, send, publish, upload, or transmit through the Services any Submission nor post any Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading;
to the extent permissible by applicable law, waive any and all moral rights to any such Submission and/or Contribution;
warrant that any such Submission and/or Contributions are original to you or that you have the necessary rights and licenses to submit such Submissions and/or Contributions and that you have full authority to grant us the above-mentioned rights in relation to your Submissions and/or Contributions; and
warrant and represent that your Submissions and/or Contributions do not constitute confidential information.

You are solely responsible for your Submissions and/or Contributions and you expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.

We may remove or edit your Content: Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions harmful or in breach of these Legal Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the authorities.

Copyright infringement

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately refer to the “COPYRIGHT INFRINGEMENTS” section below.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration and age information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not under the age of 13; (5) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services; (6) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise; (7) you will not use the Services for any illegal or unauthorized purpose; and (8) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. USER REGISTRATION

You may be required to register, including by creating an account with your email address, to use certain features of the Services, such as community features. You agree to provide accurate information, to keep your password and sign-in links confidential, and you will be responsible for all use of your account and password. You may have only one account, and you may not share or transfer it. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, impersonates someone else, or is otherwise objectionable. You may delete your account at any time in the App’s settings or by contacting us.

5. DIGITAL CONTENT

Beats, word lists, rhyme patterns, and other content and features in the Services are licensed, not sold, to you, and are subject to availability. We may add, change, or remove any content or feature at any time. Some beats are licensed to us by independent producers, who keep ownership of their beats. You may use beats only within the Services and to share recordings you make with the App as permitted by these Legal Terms, and you may not extract, download, or reuse any beat outside the Services.

Prices for all paid features are subject to change as described in Section 7.

6. PURCHASES AND PAYMENT

In-App purchases and subscriptions are processed by Apple (App Store) or Google (Google Play), and your payment is subject to their terms and payment methods. If we offer purchases or subscriptions through our website, those payments are processed by our third-party payment processor, and your payment is subject to its terms and payment methods.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. Applicable taxes will be added as required by law. All payments shall be in US dollars.

You agree to pay all charges at the prices then in effect for your purchases, and you authorize the applicable app store to charge your chosen payment method for any such amounts. We reserve the right to correct any errors or mistakes in pricing.

7. SUBSCRIPTIONS

Billing and Renewal

RHYME GAME UNLIMITED AND ANY OTHER SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD, AT THE PRICE SHOWN WHEN YOU SUBSCRIBED, AND YOU WILL BE CHARGED FOR EACH RENEWAL UNTIL YOU CANCEL. YOU CAN CANCEL AT ANY TIME AS DESCRIBED BELOW. Before you subscribe, we will show you the price, the billing period, that the subscription renews automatically until canceled, and how to cancel. By subscribing, you consent to the applicable app store (or our payment processor, for any purchase on our website) charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel. The length of your billing cycle will depend on the type of subscription plan you choose when you subscribed to the Services.

Free Trial

We may offer a free trial (currently 7 days) to new subscribers.

UNLESS YOU CANCEL AT LEAST 24 HOURS BEFORE YOUR FREE TRIAL ENDS, YOUR SUBSCRIPTION WILL AUTOMATICALLY BEGIN AND YOU WILL BE CHARGED THE SUBSCRIPTION PRICE SHOWN WHEN YOU STARTED THE TRIAL, AND EVERY BILLING PERIOD AFTER THAT UNTIL YOU CANCEL.

Cancellation

You can cancel your subscription at any time, and cancellation will take effect at the end of your current billing period. You will continue to have access to the subscription features until the end of that period. To cancel, follow the instructions for the platform where you originally subscribed:

iOS (App Store): Open the Settings app on your device, tap your name at the top, tap “Subscriptions”, select your subscription, and tap “Cancel Subscription”. You can also manage subscriptions at https://apps.apple.com/account/subscriptions.
Android (Google Play): Open the Google Play Store app, tap your profile icon, tap “Payments & subscriptions”, then “Subscriptions”, select your subscription, and tap “Cancel subscription”. You can also manage subscriptions at https://play.google.com/store/account/subscriptions.

Deleting the App does not cancel your subscription. To avoid being charged for the next billing period, you must cancel at least 24 hours before the current period ends. If you have any questions or are unsatisfied with our Services, please email us at contact@creative-rhythm.com.

Fee Changes

We may, from time to time, make changes to the subscription fee. We will notify you of any price change in advance, and give you the opportunity to cancel before it takes effect, as required by applicable law and the applicable app store.

8. REFUNDS POLICY

Purchases made through the App Store or Google Play are subject to Apple’s or Google’s refund policies, and refund requests must be made to them. Except as required by applicable law or those policies, payments are non-refundable and we do not provide refunds or credits for partial billing periods.

You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Services or relating to any applications you use or install from the Services. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us blameless from any harm caused by your purchase of such products or services. Additionally, you shall hold us blameless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

We do not currently display third-party advertisements in the Services. If we do in the future, we will update these Legal Terms and our Privacy Policy, and we will have no other relationship with advertisers.

If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States. Further, we do not knowingly accept, request, or solicit information from children under the age of 13 or knowingly market to them. Therefore, in accordance with the U.S. Children’s Online Privacy Protection Act, if we receive actual knowledge that anyone under the age of 13 has provided personal information to us without the requisite and verifiable parental consent, we will delete that information from the Services as quickly as is reasonably practical.

17. COPYRIGHT INFRINGEMENT

We respect the intellectual property rights of others and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”). If you believe that any material available on or through the Services infringes upon any copyright you own or control, please send a written notice (a “Notification”) to our designated copyright agent: Copyright Agent, Creative Rhythm LLC, 2810 N Church St, #400235, Wilmington, DE 19802, contact@creative-rhythm.com.

Your Notification must include (1) your physical or electronic signature; (2) identification of the copyrighted work you claim is infringed; (3) identification of the material you claim is infringing and where it is located on the Services; (4) your contact information; (5) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in your Notification is accurate and that you are the copyright owner or authorized to act on the owner’s behalf. A copy of your Notification may be sent to the person who posted or stored the material addressed in the Notification. Please be advised that pursuant to applicable law you may be held liable for damages if you make material misrepresentations in a Notification.

If your material was removed and you believe it was removed by mistake, you may send us a counter-notification as permitted by the DMCA. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

18. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

You may stop using the Services and delete your account at any time. Sections that by their nature should survive, including Sections 2, 11, 21, 23, 24, and 25, will survive any termination of these Legal Terms.

19. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

20. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts applicable to agreements made and to be entirely performed within the Commonwealth of Massachusetts, without regard to its conflict of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 21.

21. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms or the Services (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least sixty (60) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party, which must include the sender’s name and contact information, a description of the Dispute, and the relief requested. Notice to us must be sent to contact@creative-rhythm.com. Any applicable statute of limitations is paused during this period.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding individual arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (the “AAA Consumer Rules”), available at www.adr.org, as modified by these Legal Terms. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted through the submission of documents, by phone, or by video, and any in-person hearing will take place in the county where you reside, unless the Parties agree otherwise. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

Mass Arbitration

If twenty-five (25) or more similar demands for arbitration are filed against us by or with the assistance of the same law firm or organization within a ninety (90) day period, the AAA’s Mass Arbitration Supplementary Rules will apply, and the demands will be administered in batches of no more than twenty-five (25) demands, with each batch assigned to a single arbitrator and resolved before the next batch is filed. The Parties agree to mediate in good faith after the first batch is resolved. Any applicable statute of limitations is paused for demands waiting to be filed.

Your Right to Opt Out

You may opt out of this agreement to arbitrate by emailing contact@creative-rhythm.com, with the subject line “Arbitration Opt-Out”, within thirty (30) days after you first accept these Legal Terms. Your email must include your name, the email address or username associated with your use of the Services (if any), and a clear statement that you are opting out of arbitration. Opting out will not affect any other part of these Legal Terms.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Middlesex County, Massachusetts, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding, except as provided in “Mass Arbitration” above; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons. Notwithstanding the foregoing, if a court decides that applicable law precludes enforcement of any of these limitations as to a particular claim for relief (such as a claim for public injunctive relief), then that claim (and only that claim) must be severed from the arbitration and brought in court, after all other claims are resolved in arbitration. Any dispute about whether the limitations in this paragraph are unenforceable may be decided only by a court, not an arbitrator.

Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any individual claim that qualifies for, and remains in, small claims court; and (b) any action by a Party seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

22. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

23. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

24. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR (B) ONE HUNDRED DOLLARS ($100). CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

25. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

26. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

27. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications about your account, purchases, and the Services, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. Marketing emails are covered separately in Section 31. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

28. CALIFORNIA USERS AND RESIDENTS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

29. PROMOTIONS, CONTESTS, AND SWEEPSTAKES

From time to time, we may offer contests, sweepstakes, or other promotions in or through the Services (each, a “Promotion”). Each Promotion is governed by its own official rules and official details, which we will make available before the Promotion starts (the “Official Rules”). By entering a Promotion, you agree to its Official Rules. If the Official Rules conflict with these Legal Terms, the Official Rules control for that Promotion.

Unless the Official Rules state otherwise, Promotions are open only to legal residents of the United States who have reached the age of majority in their state of residence, and are void where prohibited. Users under the age of majority may use the Services but may not enter a Promotion. No purchase, payment, or subscription is necessary to enter or win, and a purchase will not improve your chances of winning. Entries are licensed to us as described in the Official Rules.

We may also offer special pricing or other offers, such as discounted subscriptions or extended free trials (“Special Offers”). Unless a Special Offer states otherwise, it is available only to eligible new subscribers, may be limited in time, cannot be combined with other offers, and has no cash value. We may change or end a Special Offer at any time, but a change will not affect a subscription you already purchased.

Information you provide to enter a Promotion, or as a potential winner, will be used to administer the Promotion as described in the Official Rules and our Privacy Policy. Entering a Promotion does not sign you up for marketing emails.

30. COMMUNITY FEATURES

We may offer community features that let you create a profile, post, comment, or interact with other users. When you use community features, you must follow these Legal Terms and any community guidelines we post. Content you post in community features is a Contribution and may be visible to other users. Do not post personal information, such as your full name, address, phone number, or school.

You can report content or users that violate these Legal Terms using the reporting tools in the App, and you can block other users. We may remove content, limit features, or suspend or terminate accounts that violate these Legal Terms or our community guidelines, but we are not obligated to monitor community features. If you are under 18, you may ask us to remove content you posted by using the delete option in the App or by contacting us.

31. EMAIL AND OTHER COMMUNICATIONS

If you give us your email address (for example, to create an account), we may send you emails about your account, security, purchases, Promotions you have entered, and important changes to the Services or these Legal Terms. These are not marketing emails.

We will send you marketing emails (such as news, tips, new beats, and offers) only if you choose to receive them, for example by checking a separate box when you sign up. Agreeing to these Legal Terms does not by itself sign you up for marketing emails, and signing up is not required to use the Services. You can unsubscribe at any time by using the link in any marketing email or by changing your settings in the App. We will not send text messages to you unless you separately agree to receive them.

32. RECORDINGS AND DEVICE PERMISSIONS

Certain features let you record video and audio of yourself while you play (for example, with REC turned on), using your device’s camera and microphone. These features are optional and work only if you give permission on your device or in your browser. Recordings are created on your device and are not uploaded to us unless you choose to share them through the Services. If you save or share a recording, you are responsible for it, including making sure you have permission from anyone else who appears or can be heard in it (and from a parent or guardian for any minor). When you share a recording to a third-party platform, that platform’s terms and privacy policy apply.

33. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services, including the official rules for any Promotion, constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms. You may not assign or transfer these Legal Terms or your account without our prior written consent. If a court or arbitrator finds that any provision of these Legal Terms is invalid or unenforceable, but that limiting the provision would make it valid and enforceable, the provision will be enforced as so limited.
